A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
AUTHORIZING THE BYPASS OF THE FORMAL BIDDING PROCESS; THE
AWARDING A CONTRACT TO VALLEY INDUSTRIAL COMMUNICATIONS, INC.
.i (SINGLE VENDOR) FOR THE MAINTENANCE AND MANAGEMENT OF THE
CITY'S 800 MHZ RADIO TRUNKING SYSTEM AND RELATED EQUIPMENT IN
THE AMOUNT OF $5,996.50 PER MONTH; AND AUTHORIZING THE MAYOR
TO SIGN THE NECESSARY DOCUMENTATION.
WHEREAS, the Communications Division is responsible for the City' s
radio trunking system and related equipment; and
WHEREAS, in 1988-89 the City purchased from Motorola, Inc. and
installed an 800 MHZ radio trunking system; and
WHEREAS, the Motorola system was chosen because of its being

unique in that it is computer driven and uses proprietary software
language with personality programmable read-only memory in each radio;
and
WHEREAS, VALLEY INDUSTRIAL COMMUNICATIONS, INC. (Valley) has, in
prior years, serviced the equipment as sub-contractor for Motorola; and
WHEREAS, Valley is the only Motorola service center in this area;
and
WHEREAS, staff has negotiated with both Motorola and Valley for a
new contract, and after evaluation of proposals from both companies has
determined that Valley can meet the City' s needs at a lower cost than
Motorola; and
WHEREAS, pursuant to Redding Municipal Code Section 4. 20.080 A. 2,
staff has recommended that the City enter into a one-year maintenance
and management agreement with Valley in the amount of $5,996. 50 per
month; and
WHEREAS, the City Council has carefully studied the aforesaid
matter, and has determined that said recommendation is in the best
interests of the City; and
WHEREAS, it has been determined that this matter is categorically i
exempt from the provisions of the California Environmental Quality Act; Cti

J NOW, THEREFORE, IT IS HEREBY RESOLVED by the City Council of the
City of Redding as follows:
1 . That the foregoing recitals are true and correct.
2 . That, pursuant to Redding Municipal Code Section
4. 20. 080 A. 2, the formal bidding process be bypassed and a one-year
maintenance and management agreement be entered into with Valley
} Industrial Communications, Inc. in the amount of $5,996. 50 per month.
3 . That the Mayor is hereby authorized and directed to execute
said agreement, a copy of which is attached hereto and incorporated
herein by reference, on behalf of the City of Redding.
4. That the City Clerk is hereby authorized to attest the
signature of the Mayor and to affix the seal to the necessary
' documentation when appropriate.

MAINTENANCE AND MANAGEMENT AGREEMENT
BETWEEN
VALLEY INDUSTRIAL COMMUNICATIONS, INC.
AND
THE CITY OF REDDING
This agreement is entered into between Valley Industrial
Communications, Inc. (Valley) and the City of Redding (City) for
the purpose of having Valley provide maintenance and management
services to the City' s 800 Mhz radio system and related
equipment.
1. RESPONSIBILITIES OF THE CITY
During the term of this agreement, City shall engage the
services of Valley to perform maintenance and management
services to the City' s 800 Mhz radio system and related
equipment as listed in Attachment A, which is incorporated
herein.
2 . RESPONSIBILITIES OF VALLEY INDUSTRIAL COMMUNICATIONS, INC.
Valley shall assign qualified technicians to provide all
services whether in their shop or in the field and shall provide
all tools and equipment necessary to perform services required
under this agreement.
3 . COMPENSATION
City shall pay Valley the sum of five thousand nine hundred
ninety-six dollars and fifty cents ($5,996 . 50) per month for the
services provided during the preceding month. City shall make
payment within thirty ( 30) days of receipt of Valley' s statement.
5 . TERM OF AGREEMENT
The term of this agreement shall be from February 1993
through January 1994 .
6. TERMINATION OF AGREEMENT
If Valley fails to perform its duties to the satisfaction
of the City, or if Valley fails to fulfill in a timely and
professional manner its obligations under this agreement, or if
Valley violates any of the terms or provisions of this
agreement, then City shall have the right to terminate this
agreement immediately upon the City giving written notice
thereof to Valley.
Either party may terminate this agreement on 30 days
written notice. City shall pay for all work satisfactorily
completed as of the date of notice.
7 . ENTIRE AGREEMENT; MODIFICATION
This agreement supersedes all previous agreements and
constitutes the entire understanding of the parties hereto. No
changes, amendments or alterations shall be effective unless in
writing and signed by both parties. City specifically
acknowledges that in entering into and executing this agreement,
City relies solely upon the provisions contained in this
agreement and no others.

Inasmuch as this agreement is intended to secure the specialized
services of Valley, Valley may not assign, transfer, delegate or
sublet any interest herein without the prior written consent of
City.
i 9. EMPLOYMENT STATUS
Valley shall, and during the entire term of this agreement,
is considered to be an independent contractor, and nothing in
this agreement is intended nor shall be construed to create an
employer-employee relationship, a joint venture relationship, or
allow City to exercise discretion or control over the
professional manner in which Valley performs services which are
the subject matter of this agreement; provided always, however,
that the services to be provided by Valley shall be provided in
a manner consistent with the standards applicable to such
services.
10 . INDEMNIFICATION
City shall hold harmless and indemnify Valley, its elected
officials, officers, and employees against all claims, suits,
actions, costs, counsel fees, expenses, damages, judgements or
decrees by reason of any person' s or persons' bodily injury,
including death, or property being damaged by City or any person
employed by City or in any capacity during the progress of the
work, caused by negligence or intentional wrongdoing of City.
Valley shall hold harmless and indemnify City, its elected
officials, officers, employees, and volunteers against all
claims, suits, actions, costs, counsel fees, expenses, damages,
judgements or decrees by reason of any person' s or persons'
bodily injury, including death, or property being damaged by
Valley or any person employed by Valley or in any capacity
during the progress of the work, caused by negligence or
intentional wrongdoing of Valley.
11. It is understood and agreed as a condition of this
Agreement that Valley shall, at its own expense, obtain and keep
in full force and effect the insurance coverages required in the
"Insurance Requirements for Service Contracts" attached hereto
and incorporated herein by reference.
12 . NON-DISCRIMINATION
Valley will not discriminate in employment practices or in
the delivery of services on the basis of race, color, creed,
national origin, sex, age, marital status or physical or mental
handicap.
13 . NOTICES
Any notice required to be given pursuant to the terms and
provisions of this contract shall be in writing and shall be
sent first-class mail to the following addresses;

A. Evidence of Maintenance Required, The Contractor shall, at all times, maintain in full force and effect the insur-
ance required by this section. Certificates of insurance and necessary endorsements evidencing regained coverages or policies
shall be filed with the Risk Management.Off ice at least ten (10) days prior to the begi nein; of work_ The ce ifi to shall
provide that at least thirty (30) days prior written notice of any material change in or cancellations of the coverages or
policies. shall be given to the City of Redding as certificate holder.
B. Qualifying insurers_ All required insurance Polh-JP-S shall be issued by companies which bald. a cnzrent policy
holders alphabetic and financial size category rating of not less than A:VII according to the most recent issue of Best's
Insurance Reports.
C. Insurance Required. General liability, automobile liability (if applicable) and workers' compensation insurance
shall be maintained as follows:
1. General Liability Insurance, Either (a) comprehensive general or (b) commercial general liability.
a. Comprehensive General Liability Insurance for bodily injury (including death), personal injury, and property
damage which provides limits of at least one million ($1,000,000) dollars combined single limit per occurrence.
OR
b. Commercial General Liability insurance for bodily injury (including. death), personal- injury, and property
damage which provides limits of at least one million ($1,000,000) dollars general limit per occurrence and two million
($2,000,000) dollars general aggregate limit.
In either case, the comprehensive general or commercial. gyral liability ml_ic ac Shall include. coverage or Pic
for:
a. Premises and operations;
b. Contractural liability;
C. Products/Completed Operations.with limits of one millian ($1,000,000) dollars per oc-
currence/aggregate.
d. Independent. contractors; and.

assumed under the contract) or "c" (suits brought by employees) exclusinna.

operations under the contract. The Employers' Liability insurance shall provide limits of not less than one million ($1,000,000)
dollars per occurrence. Both the Workers' Compensation and Employers' Liability policies shall. contain the Insurers waiver of
subrogation in favor of the City its officers, agents, employees and volunteers..
D. Claims Made Coverage If general. liability insurance is written. an a "claims made" basis, the certificate of
insurance must clearly so state, and the.following additional-information most be provide&
1. Whether defense coverage is included in the policy limit (yes.or no);

E. Other Insurance Provisions
1. The requirements of these Standard Specifications as to types and Iimits.of insurance coverage to be maintained by
the Contractor, and any approval of insurance by the City, are not intended to, and shall not in any manner limit or qualify the
liabilities and obligationsotherwiseassumed by the Contractor pursuant. to the contract, including, but not limited. to, the
provisions concerning- in8emifications, nor preclude the City from taking. any other action available to it under any other
provisions of the contract or lay.
2. The City ackrxxTledges that some insurance requirements contained in these Standard Specifications. may be fulfilled
' by self-insurance or other combinations of insurance on. the part of the Contractor. However, this shall.not in any way limit
1 liabilities assumed by Contractor under the contract. Any self-insurance or other combinations of insurance must be approved in
Writing by the City, at its sole discretion.
3. if the "acord form" is used as the certificate of insurance, the cancellation clause mast be modified as follows-

Dear Mr . Daniels ,
As the City of Redding ' s Trunking Radio System grows , the need of
continuous Maintenance , Repair , System Optimization , Fleet Mapping and
Programming becomes critical to the reliability and efficiency of the
System.
We are extending to the City of Redding the offer of our services and
facilities to perform these necessary functions . An annual fee of
$ 71958 . 00 , (monthly $5996 . 50) will cover the following detail :
Maintenance and Repair of the 800 Mhz Trunking System per the attached
Schedules .
All new radios - Inventory and Archive trunking personalities for
fleet mapping and program any changes that are necessary . Programmed
changes will be made within model specifications .
Programming alias ' in the Centracom II Console as new radios ,
vehicles , and personnel are added or changed .
Keeping and Maintaining current the Software for the Trunking Central
Controller and Centracom II Console . System data "back up" of the
Central Controller after any and all changes in operational
parameters .
Documentation of all parameters and radio programming for the entire
Trunking System and Paging System, as well as a complete inventory of
radio and pager equipment . This will be copied to the Communications
Director on a monthly basis as new equipment or changes occur .
In compliance with the City of Redding insurance requirement , see the
attached Certificates of Insurance for Liability and Workers
Compensation .
