A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
APPROVING ENTERING INTO THE "MASTER AGREEMENT FOR
CONSULTING SERVICES FOR CONSTRUCTION MANAGEMENT SERVICES
FOR THE CITY OF REDDING" BY AND BETWEEN THE CITY OF REDDING
AND HARRIS & ASSOCIATES, NOT TO EXCEED $698,830.00, FOR THE
CORPORATION YARD AND TRANSFER STATION; AND AUTHORIZING THE
MAYOR TO EXECUTE THE SAME.
IT IS HEREBY RESOLVED that the City Council of the City of
Redding hereby approves entering into the Master Agreement for
Consulting Services for Construction Management Services for the City
of Redding with HARRIS & ASSOCIATES, not to exceed $698 , 830. 00, for
the Corporation Yard and Transfer Station, a true copy of which is
attached hereto and incorporated herein by reference.
BE IT FURTHER RESOLVED that the Mayor of the City of Redding is
hereby authorized and directed to sign said Agreement and all other
necessary documentation in connection therewith on behalf of the City
of Redding; and that the City Clerk is hereby authorized and directed
to attest the signature of the Mayor and to impress the official seal
of the City of Redding thereto.
I HEREBY CERTIFY that the foregoing Resolution was introduced
and read at a regular meeting of the City Council of the City of
Redding on the 1st day of February , 1994, and was duly adopted at
said meeting by the following vote:

MASTER AGREEMENT FOR
CONSULTING SERVICES
FOR
CONSTRUCTION MANAGEMENT SERVICES FOR
THE CITY OF REDDING
THIS MASTER AGREEMENT, hereinafter referred to as "AGREEMENT,"
made and entered into this day of , 1994, by and between the
CITY OF REDDING hereinafter referred to as "CLIENT" and HARRIS &
ASSOCIATES, INC.,a California corporation, hereinafter referred to as"HARRIS"
or as "CONSULTANT."
RECITAL:
WHEREAS,CLIENT desires HARRIS to undertake the Consulting Services
as described by Task Order relative to the CLIENT'S project hereinafter referred
to as "PROJECT"
WHEREAS, HARRIS represents that it possesses the professional skills
necessary to provide said services; and
WHEREAS, HARRIS, accepts the relationships of trust and confidence
established between it and the CLIENT by this AGREEMENT. It covenants with
CLIENT to furnish its skills and judgement in furthering the interests of the
CLIENT. It agrees to furnish the Consulting Services authorized by Task Order
and to use its best effort to coordinate all activities so that the PROJECT will be
completed in a manner consistent with the interest of the CLIENT;and
WHEREAS, CLIENT and HARRIS desire to enter into an AGREEMENT
whereby the foregoing may be accomplished.
NOW, THEREFORE, in consideration of the mutual covenants and
agreements hereinafter set forth, HARRIS agrees to perform all of the work
hereinafter specified in this AGREEMENT, subject to and in accordance with all
of the terms and conditions hereinafter set forth, and the parties hereto agree as
follows:

ARTICLE 1
CONSULTANT'S SERVICES
1.1 HARRIS shall perform Consulting Services described in the Task Order as
requested by the CLIENT.
1.2 It is understood and agreed that services for specific project elements will
be defined, scheduled and compensation established using individual Task
Orders for all services.
1.3 HARRIS shall perform such services requested by the CLIENT upon receipt
of a fully executed Task Order from the CLIENT signed by the appropriate
CLIENT Representative. Each Task Order shall list the Scope of Services to be
performed, the Schedule for Performance, any special conditions and the form
and conditions of compensation for services.
ARTICLE 2
COMPENSATION FOR SERVICES
2.1 For work performed under any Task Order, HARRIS shall be compensated
on the basis of HOURLY RATES. Hourly rates to be charged for each service will
be attached to each Task Order. The rates include all indirect and direct charges
to each Task Order, except as noted in the Task Order.
2.2 If HARRIS utilizes subconsultants, said consultant's services shall be
invoiced at cost plus a percentage as indicated in each Task Order.
2.3 HARRIS shall revise the hourly rate schedule yearly on its fiscal year
anniversary and provide a new schedule to the CLIENT. Rates shall be effective
on the first day of January of each year.
ARTICLE 3
FEES AND PAYMENT
3.1 As consideration for providing services, the CLIENT shall pay to HARRIS
a fee that shall not exceed the total budgeted amount detailed in each Task
Order. HARRIS shall be under no obligation to provide continuing services for a
Task Order when the fee reaches the total budgeted amount unless the Task
Order has been amended to increase the total budgeted amount or a new Task
Order for the continuation of services has been executed.
3.2 The actual compensation paid to HARRIS for providing the services
required by each Task Order shall be in accordance with Article 2 and the Task
Order(s).

3.3 Payments will be made monthly by the CLIENT for approved services.
Payments shall be for the invoiced amount.
ARTICLE 4
TIME OF COMPLETION
4.1 This AGREEMENT shall remain in force until such time as such services are
terminated by CLIENT, after fifteen days written notice.
4.2 Each Task Order shall establish a schedule of completion for services listed
within the order.
4.3 HARRIS shall not begin work on any service listed within a Task Order until
written authorization is received in accordance with Article 1.3.
ARTICLE 5
CONSULTANT'S RESPONSIBILITY
5.1 HARRIS is an independent contractor and not an employee of the CLIENT.
5.2 HARRIS is employed to render professional services only, and payments
made are compensation solely for such services.
5.4 The work product and other documents prepared by HARRIS for this
PROJECT are instruments of service for use solely with respect to this PROJECT.
HARRIS agrees that its work product in accomplishing each Task Order shall
become the property of the CLIENT upon completion of each Task Order or upon
termination of this AGREEMENT, whichever shall apply. This work product shall
include all project files, daily reports, related documents and materials exclusive
of proprietary computer programs and related data files. CLIENT shall have the
right to access and inspect HARRIS' work product and supporting information at
any time during the progress of each Task Order.
ARTICLE 6
CLIENT'S RIGHT AND RESPONSIBILITIES
6.1 The CLIENT shall provide all reasonably available information including
reports, preliminary plans, maps, surveys, and other related information regarding
its requirements for the PROJECT upon written request to the CLIENT.

6.2 The CLIENT shall designate a representative who shall be fully acquainted
with the PROJECT and have authority within limits of existing CLIENT policy and
the requirements of the law to render decisions promptly and furnish information
expeditiously.
6.3 CLIENT will cooperate with HARRIS and provide reasonable access to the
site and all records.
ARTICLE 7
AGREEMENT AMENDMENTS
7.1 This AGREEMENT, or any portion thereof, may be amended by written
Amendment to Master Agreement, approved and executed in the same manner
as this AGREEMENT.
ARTICLE 8
ASSIGNMENT OF CONTRACT
8.1 Neither the CLIENT nor HARRIS shall assign or permit, the assignment
by operation of law or otherwise, this AGREEMENT or any portion of the work,
without prior written consent of the other.
i 8.2 Where the CLIENT and HARRIS have consented to an assignment, this
' AGREEMENT shall be binding upon HARRIS and the heirs, executors,
administrators, successors and assigns of all parties.
ARTICLE 9
INDEMNITY
9.1 HARRIS hereby covenants and agrees, jointly and severally, that the
CLIENT, its elected officials, officers, and employees, shall be free from any
liability, actions, causes of action, damages, costs, including attorney fees, and
loss of services on account of, or in any way growing out of personal injuries and
property damage to the extent resulting from negligent acts, errors, or omissions
of HARRIS or its employees, contractors, subconsultants, and all others acting
for or on behalf of HARRIS, arising out of and during the performance of this
agreement, including claims of each of them and their respective heirs, executors,
administrators, representatives,successors, and assigns; and that they, and each
of them, shall indemnify, defend, and hold harmless the CLIENT, its elected
officials, officers, and employees,from any liability, loss, or obligation on account
of or arising out of any such injury, death, or loss, regardless of the nature or
character, in any manner whatsoever, to the extent resulting from negligent acts,
errors, or omissions of HARRIS or its employees, contractors, subconsultants,

and all others acting for or on behalf of HARRIS, arising out of and during the
performance of the agreement, unless such be caused by the negligence of the
CLIENT, its elected officials, officers, agents, and employees.
ARTICLE 10
INSURANCE
10.1 HARRIS shall procure and maintain for the duration of the contract
insurance against claims for injuries to persons or damage to property which may
arise from or in connection with the performance of the work hereunder by
HARRIS, it's agents, representatives, employees or subcontractors.
1. Commercial general liability insurance (at least as broad as ISO form
CG0001)with limits no less than$1,000,000 per occurrence/$2,000,000
aggregate for bodily injury, personal injury, or property damage.
2. Automobile liability (at least as broad as ISO form CA0001), covering
owned, non-owned and hired vehicles, with limits no less than
$1,000,000 per accident for bodily injury and property damage.
3. Professional liability insurance appropriate to HARRIS' profession, with
limits no less than $1,000,000 per claim and in the aggregate per year.
Architects and engineers coverage is to be endorsed to include
contractual liability.
4. Workers' compensation insurance as required by the State of California
and employers' liability insurance, the latter with limits no less than
$1 ,000,000 per accident for bodily injury or disease.
10.2 The general liability and automobile liability policies are to contain or be
endorsed to contain the following provisions:
1. The CLIENT, its officers, officials, and employees are to be covered as
insureds as respects: liability arising out of work or operations
performed by or on behalf of the consultant; or automobiles owned,
leased, hired or borrowed by the consultant.
2. For any claims related to this project, the consultant's insurance
coverage shall be primary insurance as respects the CLIENT, its
officers, officials, and employees. Any insurance or self-insurance
maintained by the CLIENT, its officers, officials, or employees shall be
excess of the consultant's insurance and shall not contribute with it.
10.3 Each insurance policy required by this clause shall be endorsed to state
that coverage shall not be canceled except after thirty (30) days prior notice has
been given to the CLIENT.

10.4 Insurance is to be placed with insurers admitted in the State of California
with a current A.M. Best's rating of no less than A:VII, unless otherwise acceptable
to the CLIENT.
10.5 HARRIS shall furnish the CLIENT with certificates of insurance and original
endorsements effecting coverage required by this article. The endorsements are
to be signed by a person authorized by that insurer to bind coverage on it's
behalf. All endorsements are to be received and approved by the CLIENT before
work commences.
ARTICLE 11
TERMINATION
11 .1 This AGREEMENT may be terminated CLIENT after fifteen days written
notice.
11 .2 In the event of any termination, HARRIS shall be paid for approved services
rendered through the date of termination.

12.1 Any notice provided for herein shall be given in writing and by personal
delivery or prepaid first class, registered or certified mail, addressed as follows:

ARTICLE HEADINGS
13.1 Article, paragraph and subparagraph headings are used for convenience
only and shall not be deemed to alter or modify the content or intent of the
articles, paragraphs, or subparagraphs which they head.
ARTICLE 14
MISCELLANEOUS PROVISIONS
14.1 HARRIS agrees that it will not discriminate against any employee or
applicant for employment because of race, color, religion, sex, or national origin.
HARRIS agrees to take affirmative action to assure that applicants are employed
or retained, and that employees are treated without regard to their race, color,
religion, sex, or national origin. Such action shall include, but not be limited to,
the following: recruitment or recruitment advertising; layoff or termination; rates
of pay or other form of compensation and selection for training.

THIS TASK ORDER, hereinafter referred to as "TASK ORDER NO. 1", is
made and entered into this of , 1994, by and between the
CITY OF REDDING, a MUNICIPAL CORPORATION, hereinafter referred to as
"CLIENT" and HARRIS & ASSOCIATES, INC., Consulting Engineers, a California
corporation, hereinafter referred to as "HARRIS" or as "CONSTRUCTION
MANAGER".
WITNESSETH:
WHEREAS, CLIENT and HARRIS have entered into a Master Agreement,
hereinafter referred to as "AGREEMENT," for Consulting Services dated
wherein HARRIS is agreeing to perform certain services in managing
CLIENT'S Corporation Yard and Materials Recovery and Transfer Station Project,
hereinafter referred to as "PROJECT," and
WHEREAS, CLIENT desires HARRIS to perform certain tasks as
hereinafter listed in completing the program element defined as "Construction
Management Services".
WHEREAS,all of the terms,conditions and covenants of the AGREEMENT
shall apply to this TASK ORDER NO. 1, HARRIS shall provide the following

1. Provide miscellaneous consulting and other services not stipulatec
elsewhere in this TASK ORDER, when requested by the CLIENT.
2. A Task Order Amendment shall be required if these services cannot be
performed within the Task Order Budget or, if amended prior, the revisec
Task Order Budget.

1. Field staff are assigned full time.
2. No labor rate escalation until January 1, 1995.
3. The construction periods used to budget the project work are as follows. Services
required longer than these work periods will require a contract amendment:

5. Services for hazardous materials and asbestos remediation are excluded.
6. It is assumed that the contract times allowed for the project includes a weather delay

7. Review of certified payrolls is excluded.
8. The Design Consultants will provide the following services:
a. Provide technical interpretation of the drawings, specifications, and contract
documents and evaluate requested deviations from the approved design or
specifications.
b. Review submittals for general conformance with the design concept of the project
and general compliance with the information given in the contract documents.
C. Respond to contractor's requests for information (RFI's),as forwarded through the
Construction Manager.
d. Provide design services related to the scoping and cost of contract change
orders. Prepare change orders, as requested by the CM.
e. Periodically visit the site to assist in the evaluation and resolution of job-site
technical issues.
f. Prepare record (as-built) drawings (including a film positive) from information
supplied by contractor, on-site representative personnel, suppliers and other
sources.
