A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
APPROVING ENTERING INTO AN "AUTHORIZATION FOR PROFESSIONAL
SERVICES" AGREEMENT BY AND BETWEEN THE CITY OF REDDING AND
MTI TESTING LABORATORY INC. , NOT TO EXCEED $43,600.00, TO
PROVIDE TESTING SERVICES FOR THE CORPORATION YARD/TRANSFER
STATION PROJECT; AND AUTHORIZING THE MAYOR TO SIGN.
IT IS HEREBY RESOLVED that the City Council of the City of
Redding hereby approves entering into the above-mentioned
Authorization for Professional Services Agreement with MTI Testing
Laboratory Inc. , not to exceed $43 , 600 . 00, a copy of which is
attached hereto and incorporated herein by reference.
BE IT FURTHER RESOLVED that the Mayor of the City of Redding is
hereby authorized and directed to sign said Agreement and all other
necessary documentation in connection therewith on behalf of the
City; and the City Clerk is hereby authorized and directed to attest
the signature of the Mayor and to impress the official seal of the
City of Redding thereto.

read, and adopted at a regular meeting of the City Council on the

Client requests and authorizes MTI to perform the following services:
SCOPE:
Provide Testing & Inspection Services for the Concrete & Masonry Portions of, and in
accordance with)our previously submitted 4-6-94 Proposed Testing & Inspection Service
Plan on an on-call time and materials basis up to an amount equal to your budgeted
amount.
COMPENSATION to be on the basis of:
Above Testing & Inspection Services not to exceed $ 43,600.00.
MISCELLANEOUS:
Additional Testing & Inspection Services required to be provided under Change Order
Contract per our attached fee schedule.
Services covered by this authorization shall be performed in accordance
with PROVISIONS stated on the back of this form. Signature for author-
ization indicates said PROVISIONS have been read and understood.

PROVISIONS
1. Authorization To Proceed
Signing this form shall be construed as authorization by client for MTI to
proceed with the work, unless otherwise provided for in the authorization.
2. Direct Expenses
MTI ' s direct expenses shall be those costs incurred on or directly for the
client' s project, including but not limited to necessary transportation costs
including mileage at MTI ' s current rate if its automobiles are used, meals,
lodging and telephone charges. Expenses shall be on the basis of actual
charges furnished by commercial sources.
3. Outside Services
When technical or professional services are furnished by an outside source,
when approved by client, an additional 20% shall be added to the cost of these
services for MTI ' s administrative costs.
4. Professional Standards
MTI shall be responsible, to the level of competency presently maintained
by other practicing laboratories in the same type of work in the client's
community, for the technical soundness and accuracy of all reports and other
work and materials furnished under this authorization. MTI makes no other
warranty, express or implied.
S. Legal Expenses
In the event legal action is brought by client or MTI against the other to
enforce any of the obligations hereunder or arising out of any dispute con-
cerning the terms and conditions hereby created, the losing party shall pay
the prevailing party such reasonable amounts for fees, costs and expenses as
may be set by the court. Any action brought to enforce or interpret the provisions
of the contract shall be brought in Shasta County, California.
6. Samples
All samples will be disposed of, or destroyed upon completion of testing
unless the client advises MTI otherwise. Upon request, the samples will be
delivered to client, charges collect, or MTI will store them for an agreed
charge.
7. Field Work
The presence of MTI field personnel will be for the purpose of providing
observation and field testing. Our work does not include supervision or
direction of the actual work of the contractor, his employees or agents.
The contractor for this project should be so advised. The contractor should
also be informed that neither the presence of MTI field personnel nor the
observation and testing by MTI shall excuse him in any way for defects dis-
covered in his work. It is understood that MTI will not be responsible for
job or site safety. Job and site safety will be the sole responsibility of
the client or contractor.
8. Payment of Compensation
Invoices for our services will be submitted at our option, but not more than
twice a month. Invoices are due and payable upon receipt. If payment by
client of any amount due MTI is not made within 30 days of invoice date, a
SERVICE CHARGE of 1-1/2% per month on the unpaid balance will be added until
paid in full.
