A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING APPROVING THE AGREEMENT TO PERFORM TARIFF SCHEDULE RELATED WORK BETWEEN THE CITY OF REDDING AND PACIFIC GAS AND ELECTRIC COMPANY FOR JOINT FACILITY CONSTRUCTION ALONG THE QUARTZ HILL/KESWICK 115/12kV TRANSMISSION LOOP PROJECT ROUTE; AUTHORIZING PAYMENT TO PG&E OF ITS ACTUAL COSTS, NOT TO EXCEED $200,000; AND AUTHORIZING THE MAYOR TO SIGN ALL NECESSARY DOCUMENTATION. WHEREAS, construction of the Quartz Hill/Keswick 115/12kV Transmission Loop Project involves joint facility construction with Pacific Gas and Electric Company (PGandE) for approximately 1. 8 miles of the project route; and WHEREAS, EIR 3-91 emphasized the construction of joint facilities with other utilities wherever possible to minimize the number of miles of new overhead pole line, thereby reducing environmental impacts; and WHEREAS, PGandE has agreed to perform the necessary work for construction of the joint PGandE facilities along sections of the Quartz Hill/Keswick 115/12kV Transmission Loop Project Route for its actual out-of-pocket costs, not to exceed $200,000. 00; and WHEREAS, it is in the best interests of the City of Redding to enter into such a contract with PGandE; NOW, THEREFORE, IT IS HEREBY RESOLVED by the City Council of the City of Redding as follows: 1. That the City Council of the City of Redding hereby approves the Agreement to Perform Tariff Schedule Related Work between the City of Redding and Pacific Gas and Electric Company, its reference numbers GM4711388 and 0958E89960, a true copy of which is attached hereto and incorporated herein by reference. 2. That the Mayor of the City of Redding is hereby authorized and directed to sign said Agreement and all necessary documents on \Q behalf of the City of Redding in connection therewith, and the City Clerk is hereby authorized and directed to attest the signature of t the Mayor and to impress the official seal of the City of Redding on the aforesaid documents, when appropriate. 3 . That payment be made to PGandE of its actual costs under said Agreement, not to exceed $200 , 000 . 00 , when ascertained. CITY OF REDDING,A CALIFORNIA MUNICIPAL CORPORATION, (Applicant) has requested PACIFIC GAS AND ELECTRIC COMPANY, a California corporation (PG&E)to perform the tariff schedule related work as located and described in paragraph 3 herein. PG&E agrees to perform the requested work and furnish all necessary labor, equipment, materials and related facilities required therefor, subject to the following conditions: 1. Whenever part or all of the requested work is to be furnished or performed upon property other than that of Applicant,Applicant shall first procure from such owners all necessary rights-of-way and/or permits in a form satisfactory to PG&E and without cost to it. 2. Applicant shall indemnify and hold harmless PG&E, its officers, agents and employees, against all loss, damage, expense and liability resulting from injury to or death of any person, including but not limited to, employees of PG&E,Applicant or any third party, or for the loss, destruction or damage to property, including, but not limited to property of PG&E,Applicant or any third party, arising out of or in any way connected with the performance of this agreement, however caused, except to the extent caused by the active negligence or willful misconduct of PG&E, its officers, agents, and employees. Applicant will, on PG&E's request, defend any suit asserting a claim covered by this indemnity. Applicant will pay all costs that may be incurred by PG&E in enforcing this indemnity, including reasonable attorneys'fees. 3. The location and requested work are described as follows: (Describe in detail the materials and facilities to be furnished and/or work to be performed by PG&E. If more space is required, use other side and attach any necessary drawings as Exhibits A, 8, C, etc.): LOCATION: Various locations along the project route known as"City of Redding's Quartz HilUKeswick 115112kv Transmission loop project." DESCRIPTION OF WORK:At the request of the Applicant, PG&E will transfer its'existing distribution facilities at some fifty eight locations onto new, taller poles provided by the Applicant. This work is necessary as apart of the Applicant's Quartz HilUKeswick 115112 kv transmission loop project. The Applicant shall grant to PG&E free contactfinterest in these poles and shall pay PG&E's its'out-of-pocket expenses associated with the work required by PG&E to accomplish this task. All work performed by PG&E for the Applicant shall be billed on an actual cost basis and shall be deemed payable to PG&E at the completion of PG&E's work. The actual costs for this work, along with the corresponding CIA Tax component, will be determined by PG&E after all its'work is finished. Costs to the applicant for rearrangement of PG&E's facilities.........$149,253.73 CIAC Tax at the rate of 34%............................................................$ 50,756.27 Total amount due not to exceed...................................................$200,000.00* "Costs to the applicant shall not exceed$200,000 and are not subject to change unless PG&E's work is not completed by November 15, 1995. "*Ownership of PG&E's facilities shall remain PG&E's after the completion of its'work. Ownership of the Applicant's facilities shall remain the Applicant's after the completion of their work.
