IT IS HEREBY RESOLVED that the Council hereby approves entering into the attached Option to Purchase Real Estate between the City of Redding as Optionor and the Signature Northwest Partnership as Optionee covering the real property identified as Parcel 2 of LS-12-93 recorded March 10 , 1994, in Book 30 of Parcel Maps at page 72, Shasta County Records. BE IT FURTHER RESOLVED that the Mayor is hereby authorized and directed to sign said Option to Purchase on behalf of the City of Redding; and the City Clerk is directed to attest the signature of the Mayor and to impress the official seal of the City thereto. CALKINS City Clerk Assist t City Attorney r OPTION TO PURCHASE REAL ESTATE OPTION to purchase granted February 2L, 1995, by City of Redding, (hereinafter, the "OPTIONOR") to Signature Northwest Partnership, (hereinafter the "OPTIONEE"). 1. THE PARTIES 1 .1 OPTIONOR, a municipal corporation with its principal office at 760 Parkview Avenue, Redding, California 96001 . (a) OPTIONOR is the owner of certain real property identified as Parcel 2 of LS-12-93 recorded March 10, 1994 in Book 30 of Parcel Maps at Page 72, Shasta County Records (the "Property") and as depicted in the attached Exhibit A. (b) OPTIONOR is willing to grant to OPTIONEE an Option to purchase the Property. 1 .2 OPTIONEE, is a general partnership formed and existing under the laws of the State of California with its principal office at 230 Hartnell Avenue, Redding, California 96002. (a) OPTIONEE is desirous of obtaining an Option to purchase the Property for the purposes of retail commercial development. 2. GRANT OF OPTION 2.1 OPTIONOR, in consideration of payment of the sum of Six Thousand Five Hundred Dollars ($6,500) (the "Option Price"), the receipt of which is hereby acknowledged, grants to the OPTIONEE, an exclusive Option to purchase the Property pursuant to the terms of the Purchase Agreement. 3. OPTION PERIOD AND EXERCISE OF OPTION 3.1 This Option, if not exercised in accordance with the terms and conditions, shall expire and terminate ten months from the date of an appraisal to determine the fair market value of the Property. Upon the execution of this Agreement by both parties, the OPTIONOR shall order an MAI appraisal of the property, with the appraisal based on the completion of Buenaventura Boulevard. The receipt of that appraisal shall be considered the start of the option period. 3.2 This Option may be exercised at any time during the option period and prior to the expiration of this option as follows: by giving written notice of exercise of the Option sent by certified or registered mail, return receipt requested, sent to OPTIONOR at the address set forth above. 4. PURCHASE AGREEMENT/TERMS OF PURCHASE 4.1 The Purchase Agreement to be entered into by the parties shall be as attached as Exhibit B. 5. FAILURE TO EXERCISE OPTION 5.1 If OPTIONEE shall fail to exercise this Option either in strict accord with the terms and conditions contained herein or within the time provided herein, the consideration paid for this Option and any Extensions shall be retained by OPTIONOR and neither party shall have any further rights or claims against the other by reason of the Option. 5.2 If OPTIONEE shall fail to exercise this Option, any surveys, inspections, and/or studies completed by the OPTIONEE pertaining to the Property shall be provided at no cost to the OPTIONOR. 6. BROKER 6.1 OPTIONOR and OPTIONEE each represent to the other that such party has not dealt with any broker or person or entity acting on behalf of any broker. 6.2 This Section 6 shall survive the closing. 7. EXTENSION OF OPTION 7.1 This Option may be extended with the written approval of both parties. 7.2 Extension(s) of the Option may be granted by the City Council on the basis of payment of 1/2 percent (.005) of the appraised value of the 7 property based on the most recent appraisal multiplied by the number of months of the extended Option period, payable in advance on a month- to-month basis. 7.3 OPTIONOR reserves the right to require an updated appraisal at its expense if an Extension is granted, and such updated appraisal shall be the basis for determining the cost of extending the option and the purchase price of the property. 7.4 The maximum time this option may be extended is four months past the date specified In Section 3.1 . 8. ASSIGNMENT The Option granted herein may not be assigned by the OPTIONEE. IN WITNESS WHEREOF, the parties have signed this Agreement as of the date first above written. Ca sepal s.•-o•ee EXHIBIT B PURCHASE AGREEMENT SIGNATURE NORTHWEST PARTNERSHIP, hereinafter referred to as BUYER, agrees to purchase from CITY OF REDDING, hereinafter referred to as SELLER, that property situated in Redding, Shasta County, California, described as Parcel 2 of LS-12-93 recorded March 10, 1994 in Book 30 of Parcel Maps at Page 72, Shasta County Records, under the following terms and conditions. 1. The purchase price shall be that value as determined as the fair market value of the property by an MAI appraisal at Seller's expense. 2. Terms shall be all cash at close of escrow. 3. Payment for the Option shall be applied toward the purchase price of the Property, and Buyer shall receive a credit at the closing equal to the amount paid for the Option. Option extension charges shall not be credited toward the purchase price. 4. This Purchase Agreement is subject to the Buyer exercising that Option to Purchase dated Zl lScl!�- between Buyer and Seller. 5. Escrow will be opened within 3 days of receipt by Seller of the Buyer's Notice of Exercise of Option to Purchase. Within 60 days of the Sellers' receipt of said Notice, both parties shall deposit with Chicago Title all funds and instruments necessary to complete the sale in accordance with the terms hereof. The escrow fees shall be paid 1/2 by Seller and 1/2 by Buyer. Documentary transfer tax shall be paid by Buyer. 6. The Seller shall, by Grant Deed, convey to Buyer fee simple interest in and to the subject Property. Evidence of title in the form of a California Land Title Association (CLIA) policy shall be provided and paid 1/2 by Seller and 1/2 by Buyer. 7. Buyer shall take title to the property as West Redding Properties, Inc., a California corporation. 8. Physical possession of the property shall be delivered to Buyer upon recordation of the deed. 9. Buyer shall have the right to enter upon the Property for the purpose of making surveys, test borings, engineering studies or other studies. Buyer shall at all times keep the Property free and clear of mechanics' liens and shall indemnify and hold the City harmless from any liability for loss or damage to the Property and for any ' injuries to or death of persons as a result of any acts of Buyer, buyer's employees, ' agents and/or contractors, by reason of the rights granted herein. Buyer shall also have the right to file any use permits for development of the property consistent with the General Plan and zoning of the property. 10. This Property is being purchased in "as is" condition. Buyer shall perform all necessary inspections to satisfy self as to condition. Seller makes no representations as to the condition of the property relative to hazardous substances as defined in any law or regulation of the United States or the State of California. Seller does, however, represent that to the best of its knowledge, the property does not contain such substances. 11 . Buyer acknowledges the conditions of approval of LS-12-93, the site plan review criteria of Ordinance 1687, and the grading plan prepared in conjunction with closure of the landfill, attached hereto as Exhibits B1, B2 and B3, respectively. A copy of the current preliminary title report is attached as Exhibit B4. 12. Seller reserves the right to reserve all easements pursuant to the conditions of approval of LS-12-93. 13. Buyer agrees to maintain the leach field on Parcel 2 that services the Fire Station on Parcel 1 of LS-12-93. The leach field shall not be disturbed or removed until such time as a sewer line approved by the Director of Public Works is stubbed to the property line and the City has connected the fire station to the sewer line. If located outside of the public right-of-way, an easement shall be provided to the benefit of the City if the sewer line crosses private property. The City will be responsible for any connection charges to connect the fire station to the sewer system and any work done on the site of the fire station. The City and developer may contract for such work. 14. Buyer agrees to provide sewer to the boundary of Parcel 1 of LS-12-93 prior to constructing any improvements on Parcel 2 which will impact the leach field for the benefit of Parcel 1 depicted on Exhibit B3. 15. The buyer acknowledges that the property is adjacent to a closed landfill and that the City has provided the two studies listed below to the buyer which are incorporated herein by reference. (1) Results of Installation of a Perimeter Gas-Monitoring System and Recommendations for Sampling at the City of Redding, Benton Landfill, December 12, 1990. (2) Benton Landfill Perimeter Gas Monitoring, August 31, 1994. Buyer acknowledges the need for the City to maintain methane monitoring wells on the property that exist at the time of sale. Buyer and City may mutually agree to relocate such wells, however, absent a mutual agreement, the wells will be maintained by the City. Unrestricted access to each of the monitoring wells will be maintained by the Buyer through a floating easement across parking and driveway areas. Buyer also acknowledges that at the time of construction of any building on the property, a building will incorporate a methane barrier or a methane ventilation system below the floor of the building approved by the City. I 16. All rights retained by the City pursuant to this purchase agreement shall be retained upon any sale of the property by the buyer to a third or subsequent party. 17. In selling the property to buyer, the City is acting the same as any other sale of land that a private party sells or buys land from another private party. The fact that the City is the seller creates no rights, permits or obligation of the City different than any other privately-owned property in the City. 18. This document contains the entire Agreement of the parties and supersedes all prior agreements or representations with respect to the property which are not expressly set forth herein. LS-12-93 Name and Address City of Redding 760 Parkview Avenue Redding, CA 96001 The Board of Administrative Review considered and approved LOT SPLIT LS-12-93, granting permission to merge two parcels totalling 422 acres and resubdivide into five parcels and a 340-acre remainder. The site is generally located south of Placer Street, east of the Ridgeview Subdivision, north of the Country Heights Subdivision, and incorporates Benton Airpark, the National Guard Army, Redding Fire Station No. 4144, and the Benton landfill , in a "U" Unclassified District, "C14" Neighborhood Commercial District, and "R-1" Single Family Residential District, subject to compliance with all provisions of the Redding City Code to be accomplished in the manner illustrated on the attached map and subject to the following conditions: General Reauirements 1. Prepare and record a parcel map. The applicant shall note that the approval of this tentative map shall expire 2 years from the effective date unless an extension has been filed in accordance with Redding Municipal Code Section 17.12.090. 2. The City has filed a "Certificate of Fee Exemption" with the Department of Fish and Game for this project as required under the provisions of AB 3158. The final determination as to whether the project is exempt from the payment of additional fees under AB 3158 rests with the Department of Fish and Game. 3. All future development on Lots 1 and 2 shall conform to the site-plan- review criteria established by City Ordinance No. 1687. 4.
