RESOLUTION NO. 95-�� A RESOLUTION OF THE CITY COUNCIL OF TI� CITY OF REDDING APPROVING ENTERING INTO AN AGREEMENT TO PERFORM TARIFF SCHEDULE RELATED WORK BETWEEN THE CITY OF REDDING AND PACIFIC GAS AND ELECTRIC COMPANY FOR JOINT POLE CONSTRUCTION ALONG SECTIONS OF THE SOUTH AIRPORT 115/12KV PROJECT ROUTE. WHEREAS, EIR 6-92 for the South Airport 115/12kV Transmission Line Project emphasizes the construction of joint facilities with other utilities wherever possible to minimize the miles of new overhead pole line and reduce environmental impacts; and WHEREAS, the Electric Department has negotiated an agreement with PGandE wherein PGandE will transfer its existing distribution facilities at various locations—approximately 1.2 miles principally along Airport Road, Fig Tree Lane, and Skyway Street�nto new, taller poles provided by the City; and WHEREAS, PGandE will perform the necessary work for its actual out-of-pocket costs, not to exceed $340,000; NOW, THEREFORE, IT IS HEREBY RESOLVED by the City Council that: L The City enter into the Agreernent to Perform Tariff Schedule Related Work between the City of Redding �uid Pacific Gas and Electric Company, its reference numbers GM1276773 and 0958E88979, a true copy of which is attached hereto and made a part hereof. 2. The Mayor is authorized to sign the agreement and all necessary documentation in connection therewith on behalf of the City of Redding; and the City Clerk is directed to attest the signature of the Mayor and to impress the official seal of tYie City thereto. 3. Payment be made to PGandE for its actual costs under the agreement, not to exceed $340,000.00, when ascertained. CITY OF REDDING A CALIFORNIA MUNICIPAL CORPORATION, (Applicant) has requested PACIFIC GAS AND ELECTRIC COMPANY,a California corporation (PGBE)to perform the tariff schedule related work as located and described in paragraph 3 herein. PG&E agrees to perform the requested work and furnish all necessary labor, equipment, materials and related facilities required therefor, subject to the following conditions: 1. Whenever part or all of the requested work is to be furnished or performed upon property other than that of Applicant,Applicant shall first procure from such owners all necessary rights-of-way and/or permits in a form satisfactory to PG&E and without cost to it. 2. Applicant shall indemnify and hold harmless PG&E, its officers, agents and employees, against all loss, damage, expense and liability resulting from injury to or death of any person, including but not limited to, employees of PG&E,Applicant or any third party,or for the loss, destruction or damage to property, including, but not limited to property of PG&E,Applicant or any third party,arising out of or in any way connected with the performance of this agreement, however caused, except to the extent caused by the active negligence or willful misconduct of PG&E, its officers, agents, and employees. Applicant will,on PG&E's request, defend any suit asserting a claim covered by this indemnity. Applicant will pay all costs that may be incurred by PG&E in enforcing this indemnity, including reasonable attorneys'fees. 3. The location and requested work are described as follows: (Describe in detail the materials and facilities to be fumished and/or woiic to be performed by PG&E. If more space is required, use other side and attach any necessary drawings as Exhibits A, 8, C, etc.): LOCATION: Various locations atonc,�the project route known as"Ci_ty of Redding's South Ai�ort 115/12kv Transmission Project" DESCRIPTION OF WORK: At the request of the Applicant,PG&E will transfer its existing distribution facilities at some locations onto new,taller poles provided by the Applicant. This work is necessary as part of the ApplicanYs 115/12 kv transmission project. The Applicant shall grant to PG8�E free contacUinterest in these poles and shall pay PG&E its out-of-pocket expenses associated with the work required by PG&E to accomplish the task. All work performed by PGBE for the Applicant shall be billed on an actual cost baai� and shall be deemed payable to PGBE at the completion of PGBE's work. The actual costs for this work,along with the corresponding ITCC Tax component,will be determined by PG8�E after all its work is finished. Costs to the applicant for rearrangement fo PGBE's facilities $253,731.46 ITCC Tax at the rete of 34% S 86,268.54 Total amount due not to exceed $340,000.00* *Costs to the applicant shall not exceed$340,000.00 and are not subject to change unless PGBE's work is not completed by November 15,1996.
