HomeMy WebLinkAboutReso 95-216 - Approving entering into a second amendment to the SHASCOM joint powers agreement . � ' • � RESOLUTION NO. 95-�(p A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING APPROVING ENTERING INTO A SECOND AMENDMENT TO THE SHASTA AREA SAFETY COblMITNICATIONS AGENCY (SHASCOM) JOINT POWERS AGREEMENT. WHBR$AS, in 1990 the County of Shasta, the City of Redding, and the City of Anderson ("Participating Agencies") entered into a Shasta Area Safety Communications Agency (SHASCOM) Joint Powers Agreement ("Agreement") , as amended, to consolidate emergency support activities through a consolidated public safety support services agency; and WH$RBAS, the Participating Agencies wish to further amend the Agreement as set forth in a copy of the Second Amendment to the SHASCOM Joint Powers Agreement ("Second Amendment") attached hereto and made a part hereof; and WH$RFAS, the City Council has considered this matter, and deems it to be in the best interests of the City to enter into the Second Amendment; NOW, THBR$FOR$, IT IS HBR$BY RHSOLVED that the City Council approves entering into the Second Amendment to the SHASCOM Joint Powers Agreement, effective October l, 1995. B$ IT FURTH$R RBSOLVED that the Mayor is authorized to execute the Second Amendment on behalf of the City; and the City Clerk is directed to attest the signature of the Mayor and impress the official seal of the City of Redding. 2 H$R$BY CSRTIFY that the foregoing Resolution was introduced, read, and adopted at a regular meeting of the City Council on the 19th day of SepteInbe� 1995, by the following vote: AYES : COUNCIL MEMBERS : P• Anderson, R. LEONARD W TE City Clerk City Attorney . � • SECOND AMENDMENT TO SHASTA AREA SAFETY COMMUNICATIONS AGENCY JOINT POWERS AGREEMENT The Participating Agencies in the Shasta Area Safety Communications Agency hereby amend their Joint Powers Agreement effective October l, 1995, as follows: Paragraph 6.3 is amended to replace the language: "The Board may delegate to the Management Council established pursuant to the provisions of Section 7 of this agi�eement, the functions of program development, policy fonnation and program management." With language which reads: "The Board of Directors may delegate to the Executive Board established pursuant to the provisions of Section 6.10 of this agreement, the functions of program development, policy fomiation and program management." Paragraph 6.7.3 is amended to replace the language: "Adopt a set of bylaws which are not inconsistent with either the applicable law or with this agreement. Each Board member, Management Council member, Participating Agency and Associate Agency shall receive a copy of the bylaws. Thereafter, the Board may adopt additional bylaws or regulations which aze not inconsistent either with the applicable law or with this agreement. Each bylaw amendment adopted by the Board shall be sent to each Boazd member, Management Council member, Participating Agency and Associate Agency." With language which reads: "Adopt a set of bylaws which are not inconsistent with either the applicable ; law or with this agreement. Each Board of Directors member, Executive Board ; Member, Management Council member, Participating Agency and Associate ! Agency shall receive a copy of the bylaws. Paragraph 6.9 is amended to replace the language: "The Secretary of the Management Council shall serve as Secretary to the Board." With language which reads: "The Chair of the Executive Board shall serve as Secretary to the Board of Directors." Paragraph 6.10 with the following language is added: "EXECUTIVE BOARD. The purpose of the Executive Board is to be responsible for the overall management of SHASCOM, including, but not � limited to, overseeing the Management Council, fiscal issues and personnel issues." Paragraph 6.10.1 with the following language is added: "The Executive Board shall be composed of the following members: The Shasta County Administrative Officer, the Redding City Manager and the Anderson City Manager, or their designees." Pazagraph 6.10.2 with the following language is added: "The Execurive Board shall meet not less than quarterly, prior to the quarterly Board of Directors meeting, or as necessary as called by the Board Chairperson, or a majority of Board Members." Paragraph 6.10.3 with the following language is added: "The presence of all three members of the Executive Board or their designees shall be necessary to constitute a quorum for the transaction of business." Paragraph 6.10.4 with the following language is added: 2 . • • • "The Executive Board shall appoint a Chairperson and Vice Chairperson, and establish a time and place for regular meetings." Paragraph 7.0 is amended to replace the following language: "MANAGEMENT COUNCIL. As speci�ed herein, the purpose of the Management Council is to oversee the management of the day-to-day operations of SHASCOM." With language which reads: "MANAGEMENT COUNCIL. As specified herein, the purpose of the Management Council is to oversee the management of the day-to-day operations of SHASCOM, as delegated by the Executive Board." Paragraph 7.2 is amended to replace the language: "The Board may delegate the following functions to the Management Council,. pursuant to Section 6.3: 7.2.1 Development and implementation of the operational priorities, policies and procedures for systems development, programs and operations; 7.2.2 Employment or termination, as necessary, of the General Manager; 7.2.3 Supervision of the General Manager in the development and maintenance of programs provided by SHASCOM; and 7.2.4 Review and recommendation to the Board on the operating and capital budget proposal of the General Manager." With language which reads: "The Executive Board, may delegate the following functions to the Management Council, pursuant to Section 6.3: 7.2.1 Development and implementation of the operational priorities, policies and procedures for systems development, programs and operations; 7.2.2 Employment or termination, as necessary, of the General Manager; 7.2.3 Supervision of the General Manager in the development and maintenance of programs provided by SHASCOM; and 3 , t • • 7.2.4 Review and recommendation to the Executive Board on the operating and capital budget proposal of the General Manager." Paragraph 11.6 is amended to replace the language: "To attend all meetings of the Board and the Management Council and to assist the secretaries of the Board and of the Management Council." With language which reads: "To attend all meetings of the Board of Directors, Executive Board and Management Council and to assist the secretaries of the Board of Directors, Executive Board and Management Council." IN WITNESS WHEREOF, the parties have executed this Amendment in Shasta County, California.
