A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF REDDING AUTHORIZING ENTERING INTO AN
AGREEMENT WITH THE COUNTY OF SHASTA FOR
THE INSTALLATION OF A �'RAFFIC SIGNAL AT THE
INTERSECTION OF LAKE BOULEVARI) EAST AND
BOULDER DRIVE.
IT IS HEREBY RESOLVED that the City Council of the City of Redding approves
entering into the attached Agreement Between County of Shasta and City of Redding for
Installat�on of a Traffic Signal at the intersection of Lake Boulevard East and Boulder Drive.
BE IT FURTHER RESOLVED that the Mayor is authorized to execute the
Agreement on behalf of the City of Redding; and the Clerk is directed to attest his signature
and affix the seal of the City.

at a regular meeting of the City Council on the 16th day of Novembe� 1999, by the following

AGREEMENT BETWEEN COUNTY OF SHASTA AND CITY OF REDDING
FOR INSTALLATION OF A TRAFFIC SIGNAL
This agreement is entered into between the County of Shasta (County) and the City
of Redding (City) for the purpose of installing a traffic signal at the intersection of Lake
Blvd. East and Boulder Drive.
1 . Responsibilities of CitX
City will complete the signal design, advertise, accept, review, and approve bids;
and supervise the construction of the traffic signal at the intersection of Lake
Blvd. East and Boulder Drive. City will bill the County for one-half of the cost of
the construction contract and one-half of all actual internal costs for overseeing
the construction contract. Internal costs to be actual times used by city
personnel for implementing construction contract.
City shall maintain this traffic signal per conditions of "Agreement for
Maintenance of Traffic Signals on Highways in the County of Shasta." (Executed
on October 30, 1990) This location to be added to Exhibit "A."
2. Responsibilities of CountX
County shall pay the City within 30 days of receipt of bids, one-half of the
amount bid by the lowest responsible bidder for the installation of the signals.
County shall pay one-half of the balance of the costs incurred by City within 60
days of the City billing upon completion of the project.
County also agrees to pay City for one-half of the maintenance of the traffic
signal in accordance with the terms of the Maintenance Agreement.

3. Terms of Aqreement
This agreement shall commence on the date of signing and shall terminate after
completion of the construction of the traffic signal and all conditions of
agreement have been met. This agreement can terminate at any time prior to
completion of construction with the consent and approval of both parties.
County shall pay to City upon demand one-half of all costs incurred by City up
to the time of termination of this agreement.
4. Entire Agreement; Modification
This agreement constitutes the entire understanding of the parties hereto. No
changes, amendments or alterations shall be effective unless in writing and
signed by both parties.
5. Indemnification
City shall hold harmless and indemnify County, its elected officials, officers, and
employees, against all claims, suits, actions, costs, counsel fees, expenses,
damages, judgments or decrees by reason of any person's or persons' bodily
injury, including death, or property being damaged by City or any person
employed by City or in any capacity during the progress of the work, whether by
negligence or otherwise, but only for that proportion of such claims, costs, suits,
and damages which reflects the percentage of negligence of the City compared
to the total negligence of all persons, firms, or corporations which results in said
damages to the County.
County shall hold harmless and indemnify City, its elected officials, offices, and

6. Notices
Any notice required to be given pursuant to the terms and provisions of this
agreement shall be in writing and shall be sent first class to the following
