E.A. 260969 WITH CALTRANS; A.ND (2) AUTHORIZING THE EXECUTION OF GRANT DEED NO. 11644 FROM THE CITY TO THE STATE (STATE ROUTE 273). IT IS HEREBY RESOLVED that the City Council of the City of Redding: l. Approves entering into Right of Way Contract No. E.A. 260969—State Highway (State Route 273 Project), between the State of California, acting by and through its Department of Transportation, and the City of Redding, a true copy of which is attached hereto and made a part hereof. This contract sets forth the entire agreement between the parties. 2. Approves the transfer and execution of Grant Deed No. 11644 (State Route 273 Project) from the City of Redding to the State of California, a true copy of which is attached hereto and made a part hereof. 3. Authorizes the Mayor to sign the Contract and Grant Deed on behalf of the City, and the City Clerk to attest his signature and impress the official seal of the City of Redding thereto. Nickersoa Right of Way Agent for the State of Cal.ifornia. Ia consideration of which, and the other consideratioas hereinafter set forth, it is mutually agreed as follows: 1. The parties have herein set forth the whole of their agree�ent. The State sha11: (A) Pay the undersigned grantor the sum of $16, 000 . 00 for the property or interest conveyed by the above document when title to said property vests in the State free and clear of all liens, encumbrances, assessments, easements, and leases (recorded and/or unrecorded) , and taxes, except : a . Taxes for the year in which this escrow closes shall be cleared and paid in the manner required by Sectior. 5086 of the Revenue and Taxation Code if unpaid at the close of escrow. b. Right of way for pole lines for electric transmission as reserved by Northern California Power Company Consolidated, a corporation, recorded June 12, 1917 in Book 127 of Deeds at page 414, Shasta County Records and the Joint Use Agreement between PG & E and City of Redding recorded 6-9- 65 in Book 839, Page 145, Shasta County Records . c. Easement for conveying gas and pipeline, with necessary appliances, in favor of Pacific Gas & Electric Company, a California Corporation, recorded January 3, 1938 in Book 2 or Rights of Way at page 90, Shasta Gounty Records . �.� ' � d. Easement for transmission and distribution of electricity and a11 incidental rights, in favor of Pacific Gas & Electric Company, recorded February l, 1960 in book 624 or official Records at page 24, Shasta County Records . f . Easement for transmission and distribution of electricity and all incidental rights, in favor of Pacific Gas & Electric Company, a corporation recorded February 13, 1958 in Book 557 of official Records at page 40�, Shasta County records . (B) Pay all escrow and recording fees incurred in this transaction, and if title insurance is desired by the State, the premium charged therefor . This transaction wi11 be handled through an escrow with First American Title Insurance Company, 1600 West Street, Redding, CA 96002, their number: 92781-TO. (C) Have the authority to deduct and pay from the amount shown in clauses (A) above, any amount necessary to satisfy any bond demands and delinquent taxes due in any year except the year in which this escrow closes, together with penalties and interest thereon, and/or delinquent and unpaid nondelinquent assessments which have become liens at the close of escrow. 3 . It is agreed and confirmed by the State of California and the City of Redding that permission was granted to the State or its authorized agent by the City of Redding under Cooperative Agreement No . 02-0005, signed September 17, 1996, to enter upon grantors' land, where necessary, as follows : ;A) Within that certain area shown in red on the map marked "Exhibit A" attached hereto and made a part hereof, to provide workroom for the State or its authorized agent, to install a retaining wall and fence within the State' s Right or Way. (B) Within that certain area shown in blue on the map marked "Exhibit B" attached hereto and made apart hereof, for the State or its authorized aqent to construct a 304 meter long by 2 . 4 meter wide concrete sidewalk, as mitigation, for the State' s removal of 20± trees from the city park. Said sidewalk will be constructed on a line roughly parallel to the State Highway and Cypress Avenue, but on City of Redding land as shown on said Exhibit "B" and as described above in this Clause . � ' � Grantc�nderstands and agrees th�after completion of the work d�cribed above, said sidewa will be considered as grantor' s sole property and grantor will be responsible for its maintenance and repair . This permission sha11 terminate upon the completion of said project described as "In Shasta County on Route 273 from Wyndham Lane to Sacramento River Bridge and on Route 299 from north junction Route 273 to Pine Street (road rehabilitation. " 4 . The State wil1, unon completion of the construction described above, leave the areas described in clause 3 (A) and (B) above in as good as or better condition than existed before the construction. 5 . State agrees to indemnify and hold harmless, in so far as it is legally able to do so, the grantor herein from any liability arising out of State' s operations under this Riqht of Way Contract . State further agrees to assume responsibility for any damaqes proximately caused by reason of State' s operations under this Right of Way contract and State will, at its option, either repair or pay for such damage . 6 . It is agreed and confirmed by the parties hereto that notwithstanding other provisions in this contract, the right of possession and use of the subject property by the State, including the right to remove and dispose of improvements, commenced on September 17, 1996, the date of the cooperative Agreement referenced above, and that the amount shown in Clause 2 (A) herein includes, but is not limited to, full payment for such possession and use, including damaqes, if any, from said date . 7 . The State sha11, upon completion of the project as described in Clause 3 above, and subject to approval by the California Transportation Commission, deliver to the City or Redding, a Municinal Corporatior a good and surficient director' s Deed, properly recorded, to the property shaded in green on the map marked Exhibit "C" attached hereto and made a part hereof, and further identified as Excess Land Parcel DK 004133-01-01, tr2e and clear of all liens and encumbrances, except tax2s and special assessments, if any, all matters of record and any easements, claims of easements, restrictions and /or reservations not of record. It is understood that the State is in no way obligated to pay escrow charges, title insurance or documentary transfer taxes incurred in connection with the conveyance to the grantors referred to above . .
