A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDDING
APPROVING THE PROPERTY EXCHANGE AGREEMENT AND
LEASE -BACK AGREEMENT TO THE STATE OF CALIFORNIA AND
AUTHORIZING THE MAYOR TO EXECUTE A PROPERTY
EXCHANGE AGREEMENT AND A LEASE -BACK AGREEMENT FOR
THE PROPERTIES COMMONLY DESCRIBED AS 875 CYPRESS
AVENUE (APN 102-490-006) AND PART OF 5855 VENTURE PARKWAY
(APN 054-220-019)
WHEREAS:
1. The City of Redding ("City") owns certain real property in fee located at 5855 Venture
Parkway ("City Property"), commonly described Parcel 11 in Stillwater Business Park
(portion of APN 054-220-019). The Property is more particularly described in Exhibit A
(attached) and made part hereof by reference.
2. The State of California ("State") owns certain real property in fee located at 875 Cypress
Avenue ("State Property"), commonly described as the Cal Fire Facility (APN 102-490-
006). The Property is more particularly described in Exhibit B (attached) and made part
hereof by reference.
3. The City Property was developed in order to facilitate the construction of facilities for
large numbers of employees. The State plans to construct a new regional headquarters
facility for Cal Fire on the City Property that will employ several hundred people and
contain approximately 35,000 square feet across multiple buildings.
4. The State Property is located immediately adjacent to City -owned property at 777
Cypress Avenue and is an ideal location for future expansion of City operations.
5. The Development Services Director for the City of Redding has determined that the
exchange of the Property is consistent with the General Plan pursuant to Government
Code §65402.
6. A copy of the Property Exchange Agreement and Lease -Back Agreement (collectively,
the "Agreements") setting forth terms and conditions of the proposed property exchange
and lease -back of the State Property to the State is on file with the City Clerk for the City
Council meeting of November 19, 2019.
NOW THEREFORE THE CITY COUNCIL FINDS DECLARES AND RESOLVES A S

A. The foregoing recitals are true and correct.

B. The City Council hereby approves the proposed Agreements and the transaction
contemplated thereby in substantially the form of such Agreements presented to the City
Council subject to the approval of the City Attorney.
C. The City Council hereby authorizes the Mayor to execute the Agreements for the
exchange and lease -back of fee interest, to the State in accordance with the terms and
conditions of the Agreements, and to take any and all steps (including, but not limited to,
the execution and delivery of any and all certificates, agreements, notices, consents,
escrow instructions, closing documents, and other instruments) as the City Manager
deems necessary or appropriate pursuant to the Agreements, or to otherwise effectuate
the purpose and intent of this Resolution.
I HEREBY CERTIFY that the foregoing resolution was introduced and adopted at a regular
meeting of the City Council of the City of Redding on the 19`h day of November, 2019, by the

All that real property being a portion of Parcel 11 as shown on that map entitled
Stillwater Business Park filed on May 8, 2008 in Book 37 of Parcel Maps at Page
93, Shasta County records and being a portion of the Southeast one-quarter of
Section 23, Township 31 North, Range 4 West, Mount Diablo Meridian, in the
City of Redding, County of Shasta, State of California being more particularly
described as follows.
Beginning at the Northwest comer of said Parcel 11, said point also being on the
Easterly right-of-way line of Venture Parkway as shown on said map, thence on
and along the Northerly line of said Parcel 11, South 89° 58' 07" East 1,228.17
feet;
Thence North 88" 50' 38" East 116.64 feet to the Northeast corner of said Parcel
11;
Thence on and along the Easterly line of said Parcel 11 the following described

All that certain real property located in the City of Redding, County of Shasta. State of California, being
more particularly described as follows:
From an iron pipe at the S, W, comer of Lot 28 of the Olivia Tract, City of Redding, proceeding
North 64°33' West, 236.05 feet; thence South 25°28' West, 100 feet to an iron pipe in the southerly
right of way line of a State Highway, being the point of beginning and N.E. corner of the property
herein intended to be conveyed; thence South 25°28' West, 516.00 feet along the west boundary of
the U.S.A. property to an iron pipe which is the southwesterly corner of said U.S.A. property, and the
southeasterly corner of the property herein intended to be conveyed; thence North 64032' West,
301.00 feet along the north side of a drainage ditch serving the north side of an existing traveled way
to an iron pin; thence North 20000' East, 518.25 feet along the east edge of an existing traveled way to

1. North 20°00'00" East 58.91 feet along the westerly line of said Grant Deed;
2. Leaving said westerly line South 64°32'00" East 89.15 feet to the northerly extension of the
